The terms and conditions governing the use of our services

These AI Terms of Use (this "Agreement") are a binding contract between you or the entity you represent ("Customer," "you," or "your") and Pixcribe ("Provider," "we," or "us"). This Agreement governs your access to and use of the Services. The Services provided under this Agreement are intended for a variety of lawful uses, including business and commercial purposes.

THIS AGREEMENT TAKES EFFECT WHEN YOU CLICK THE "CONTINUE" BUTTON OR ANY SIMILAR ACCEPTANCE MECHANISM TO ESTABLISH ACCESS AND USE THE SERVICES FOR THE FIRST TIME (the "Effective Date"). BY CLICKING ON THE "CONTINUE" BUTTON OR ACCESSING OR USING THE SERVICES YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT AND, IF ENTERING INTO THIS AGREEMENT FOR AN ENTITY, THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ENTITY; AND (C) ACCEPT THIS AGREEMENT ON YOUR BEHALF OR ON BEHALF OF THE ENTITY YOU REPRESENT IF YOU ARE ENTERING INTO THIS AGREEMENT FOR AN ENTITY AND AGREE THAT YOU OR SUCH ENTITY, AS APPLICABLE, ARE LEGALLY BOUND BY ITS TERMS.

IF YOU DO NOT ACCEPT THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

1. Definitions

"Aggregated Statistics" means data and usage metrics derived from the operation, support, and use of the Services that do not identify Customer, any Authorized User, or any individual.

"Authorized User" means Customer and Customer's employees, consultants, contractors, and agents who are authorized by Customer to access and use the Services under this Agreement.

"AI Customer Input" means information, data, materials, text, prompts, images, PDFs, screenshots, files, or other content that is input, entered, posted, uploaded, submitted, transferred, or otherwise transmitted by or on behalf of Customer or any Authorized User through the Services.

"AI Customer Output" means information, data, materials, text, tables, structured fields, classifications, or other content generated by or otherwise output from the Services in response to AI Customer Input.

"AI Technology" means machine learning, deep learning, large language models, computer vision models, OCR systems, and other artificial intelligence technologies, together with related software, systems, methodologies, and supporting infrastructure.

"Confidential Information" has the meaning set out in Section 5.

"Customer Data" means AI Customer Input and AI Customer Output. Customer Data does not include Aggregated Statistics.

"Documentation" means any usage guidelines, product information, or technical materials we make available for the Services.

"Fees" means subscription fees, usage-based charges, and any other amounts payable by Customer for access to or use of the Services.

"Personal Information" means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with an individual.

"Provider IP" means the Services, the Documentation, Aggregated Statistics, and all intellectual property provided to Customer or otherwise made available in connection with the Services, excluding Customer Data.

"Services" means the AI-powered data extraction, OCR, document parsing, image understanding, text extraction, and related functionalities provided by Pixcribe through https://pixcribe.com and related applications.

"Third-Party Products" means any products, technology, content, data, services, information, websites, or other materials that are owned by third parties and are included in, incorporated into, or accessible through the Services, including third-party AI Technology and payment processors.

"Training Data" means information, data, prompts, text, files, labels, or other content used to train, validate, test, retrain, or improve AI Technology.

2. Access and Use

(a) Provision of Access

Subject to the terms and conditions of this Agreement, Provider grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the Term to access and use the Services for Customer's internal business operations through its Authorized Users.

(b) Use Restrictions

Customer shall not, and shall not permit any Authorized User or third party to:

  • copy, modify, or create derivative works of the Services or Documentation, in whole or in part;
  • rent, lease, lend, sell, sublicense, assign, distribute, publish, or otherwise make the Services available to any third party except as expressly permitted by this Agreement;
  • reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to any source code, model architecture, model weights, parameters, algorithms, or other underlying components of the Services;
  • use the Services or any AI Customer Output to build, train, fine-tune, benchmark, or improve any competing artificial intelligence system or service;
  • use bots, scraping tools, harvesting tools, or other automated means to extract data from the Services other than through expressly authorized workflows;
  • upload, submit, or process content that is unlawful, infringing, defamatory, harmful, deceptive, or in violation of applicable law or third-party rights;
  • interfere with or disrupt the integrity, security, availability, or performance of the Services;
  • circumvent usage limits, access controls, account restrictions, or security protections implemented by Provider.

(c) Customer Responsibilities

Customer is responsible for all activities conducted through its accounts and Authorized Users, for obtaining all rights and consents necessary for Provider to process Customer Data, and for reviewing AI Customer Output before relying on or using it. AI-generated output may contain errors, omissions, or inaccurate classifications, and Customer remains solely responsible for business, legal, financial, compliance, and operational decisions made using the Services.

(d) Aggregated Statistics

Provider may collect and compile Aggregated Statistics related to the performance, operation, and use of the Services. As between the parties, Provider owns all right, title, and interest in and to Aggregated Statistics and may use them for lawful business purposes, including analytics, security, service improvement, and reporting, provided they do not identify Customer or any individual.

(e) Suspension

Provider may suspend or limit Customer's or any Authorized User's access to the Services if Provider reasonably determines that: (i) use of the Services violates this Agreement or applicable law; (ii) Customer's use poses a security risk to the Services or any third party; or (iii) suspension is necessary to prevent harm, fraud, abuse, or liability.

3. Acceptable Use

Customer shall use the Services only in compliance with applicable laws, regulations, and this Agreement. Customer shall not use the Services to process or generate content for illegal surveillance, fraud, harassment, discrimination, malicious code, identity theft, or any activity that infringes intellectual property, privacy, publicity, or other rights of any person or entity.

Customer should not submit highly sensitive Personal Information, government-issued identifiers, financial account credentials, medical records, biometric data, or other regulated data unless Customer has independently determined that such use is lawful and appropriate and has implemented suitable safeguards.

4. Fees, Billing, and Refunds

(a) Fees

Customer shall pay all Fees specified at the time of purchase or subscription. Unless otherwise stated, Fees are quoted and payable in U.S. dollars.

(b) Billing Cycle and Renewal

If Customer purchases a subscription, the subscription will renew automatically for successive billing cycles unless cancelled before the renewal date. Customer authorizes Provider and its payment processors to charge the applicable Fees using the selected payment method.

(c) Late or Failed Payments

If payment cannot be completed, Provider may suspend access to paid features until outstanding amounts are paid in full.

(d) Fee Changes

Provider may change Fees from time to time. Any material fee change for recurring subscriptions will take effect no earlier than the next renewal term after reasonable prior notice.

(e) Refunds

Except as required by applicable law, Fees paid for subscriptions, credits, and usage-based services are non-refundable. Because the Services involve immediate access to software functionality and data processing resources, no refunds will be provided for partial billing periods, unused credits, or Customer's failure to use the Services.

5. Confidential Information

From time to time during the Term, either party may disclose or make available to the other party information about its business affairs, products, technology, confidential intellectual property, trade secrets, third-party confidential information, security information, and other sensitive or proprietary information in any form or medium, whether or not marked as confidential (collectively, "Confidential Information"). Provider IP is Provider's Confidential Information, and Customer Data is Customer's Confidential Information.

Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was known to the receiving party before disclosure; (c) is lawfully received from a third party without restriction; or (d) is independently developed without use of or reference to the disclosing party's Confidential Information.

The receiving party shall use the disclosing party's Confidential Information only as necessary to exercise its rights or perform its obligations under this Agreement and shall not disclose such Confidential Information except to employees, contractors, advisors, and service providers who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement. A receiving party may disclose Confidential Information if required by law, regulation, or court order, provided it gives prior notice where legally permitted.

6. Privacy and Data Handling

Provider will process Personal Information in accordance with Provider's Privacy Policy available at https://pixcribe.com/privacy-policy (the "Privacy Policy"). By accessing or using the Services, Customer acknowledges that it has reviewed and accepted the Privacy Policy.

Customer acknowledges that the Services may rely on Third-Party Products, including AI and infrastructure providers, to process Customer Data for the purpose of providing the Services. Provider takes commercially reasonable measures to protect Customer Data, but no system can guarantee absolute security.

Unless otherwise required by law or separately agreed in writing, Provider may retain and delete Customer Data in accordance with its operational practices, including periodic deletion policies intended to reduce long-term storage of uploaded files and outputs. Customer remains responsible for maintaining any copies it needs for its records.

7. Intellectual Property Ownership; Feedback

(a) Provider IP

As between the parties, Provider owns all right, title, and interest in and to the Provider IP. Subject to Customer's compliance with this Agreement, Provider grants Customer a limited, non-exclusive right to access and use the Services and Documentation during the Term.

(b) Customer Data

As between the parties, Customer retains all right, title, and interest in and to Customer Data, subject to any rights in Provider IP or Third-Party Products embedded in the Services or outputs. Customer grants Provider a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, process, and otherwise use Customer Data as necessary to provide, maintain, secure, support, and improve the Services and to comply with applicable law.

Provider will not use Customer Data to train models for other customers except as permitted by applicable law, the Privacy Policy, or Customer's explicit consent. Notwithstanding the foregoing, Provider may delete Customer Data if Provider reasonably determines that such data violates this Agreement, creates security or legal risk, or must be removed to comply with law.

(c) Feedback

If Customer or any Authorized User provides suggestions, ideas, enhancement requests, recommendations, or other feedback relating to the Services ("Feedback"), Provider may use that Feedback without restriction or obligation, and Feedback will be deemed non-confidential.

8. Disclaimer and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

AI FEATURES MAY PRODUCE INCORRECT, INCOMPLETE, BIASED, OR UNAVAILABLE OUTPUTS. PROVIDER DOES NOT WARRANT THAT THE SERVICES OR ANY OUTPUT WILL BE ERROR-FREE, COMPLETE, SECURE, OR SUITABLE FOR CUSTOMER'S PARTICULAR USE CASE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CUSTOMER TO PROVIDER FOR THE SERVICES DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Changes to Terms

Provider may modify these Terms from time to time. If a revision is material, Provider will make reasonable efforts to provide advance notice before the updated Terms take effect. Customer's continued access to or use of the Services after the effective date of the revised Terms constitutes acceptance of the updated Terms.
